RULES OF CONDUCT

Effective as of Jun 30th 2021

Rules of Conduct supplements and is incorporated into the Terms of Service Agreement.

All Users and any other persons accessing the Services, including the Site and the Apps, agree to the following requirements, which are in addition to and do not limit the requirement to comply with all applicable law.

• Do not submit, encourage or in any way facilitate Content or other information that is individualized investment advice or otherwise designed or tailored to any individual or his or her particular circumstances.
• Do not make any offers to sell any investment instruments, including securities or options, of any kind.
• Do not submit, encourage or in any way facilitate Content or other information that is false, misleading, untruthful or inaccurate.
• Do not manipulate the market related to a security or other investment, including do not post Content intending that it will move the price of a stock, option or other investment product or affect the volume of trading and investment activity for an investment product.
• Do not submit, encourage or in any way facilitate Content or take any inappropriate or illegal actions based on knowledge of any material non-public information about the issuer of a security, including activity in the market related to that security or other investment. In other words, do not invest or trade based on what is commonly referred to as “inside information.”
• Do not deceive, defraud or use any deceptive device or contrivance relating to person or a security or other investment.
• Do not make business solicitations or advertising.
• Do not threaten, abuse, harass, defame or libel another person;
• Do not impersonate another person, violate the privacy or publicity rights of another person or breach any duty owed to another person, including the duty to keep information confidential as provided in employer policies or otherwise as required by an employer.
• Do not submit, encourage or in any way facilitate Content that includes personal identification information, financial information or any other information that a person reasonably expects to remain private.
• Do not submit, encourage or in any way facilitate Content that: is obscene, vulgar, pornographic, offensive or profane; contains or depicts nudity, sexual activity, sex trafficking; exploits children; or is otherwise inappropriate.
• Do not infringe on the intellectual property rights of another person, including patents, trademarks, trade secrets, copyrights.
• Do not violate any anti-money laundering, counter terrorism or similar obligations.
• Do not interfere with the operation of the Services, including the Site and the Apps.
• Do not re-sell or provide the Services or any part thereof for a commercial purpose.
• Do not engage in or facilitate activities, or promote or encourage auto-responder, spam or other unsolicited bulk or junk email, computer or network hacking or cracking.
• Do not engage in or facilitate activities that use manual or automated software, devices or other processes to gather data, extract, collect, aggregate, copy, duplicate, scrape, harvest, “crawl,” “spider,” display or make derivative use of any of the Services, including Content, the Site or the Apps.
• Do not install, assist or facilitate installing any viruses, worms, bugs, Trojan horses or other code, files or programs designed to, or capable of, disrupting, damaging or limiting the functionality of any software, hardware, telecommunications equipment or any other system, whether of Tradewith or any other person.
• Do not decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Services,.
• Do not modify, translate or otherwise create derivative works of any part of the Services.
• Do not circumvent, disable or otherwise interfere with the security-related features of the Services, including the Site or App, including do not use tools that make your internet protocol address anonymous.
• Do not modify the Services, including as found on the Site, the Apps or any of the related technologies.

You agree to make the following disclosures when you submit Content:

• you will disclose if you have a long or short position in the investment or you intend to initiate or increase a position;
• you will disclose your intended holding period if you intend to transact in the opposite direction within three trading days of posting the Content relating to the investment (e.g., you have a long position but intend to sell it in 2 days);
• you will disclose all material relationships relating to the Content you post, including:
  • relationships with the issuer of a stock (such as if the issuer is your employer),
  • advertising revenue or sponsorship (such as if your company receives advertising revenue from people accessing a company’s website),
  • other compensation (such as from a broker you recommend), and
  • payments for promotion (such as those paid to influencers and celebrities).
